TreatRight Kenya Vendor Terms & Conditions

These Vendor Terms & Conditions govern participation in the TreatRight Kenya platform. By registering as a TreatRight Vendor Partner, you agree to comply with the terms below.
1. About TreatRight
TreatRight Kenya ("TreatRight") is a digital meal gifting platform that connects customers with participating restaurants, cafés, bakeries, dessert outlets and beverage establishments.
TreatRight facilitates the ordering and payment process but does not prepare, manufacture or deliver food unless otherwise stated.
2. Vendor Eligibility
To become a TreatRight Vendor Partner, you must:
- Operate a legitimate food or beverage business.
- Provide accurate business information during registration.
- Maintain all licences and permits required under Kenyan law.
- Comply with applicable food safety and public health regulations.
- Maintain a valid settlement account approved by TreatRight.
TreatRight reserves the right to approve, reject, suspend or terminate any vendor application at its sole discretion.
3. Vendor Responsibilities
The Vendor agrees to:
- Honour all confirmed TreatRight orders.
- Prepare meals to the same quality and standard offered to walk-in customers.
- Use fresh, safe and quality ingredients.
- Maintain accurate menus and pricing.
- Notify TreatRight immediately if an item becomes unavailable.
- Maintain professional customer service.
- Comply with all applicable laws and regulations.
4. Menu Information
The Vendor shall provide:
- Accurate menu descriptions.
- Current menu prices.
- Business logo (where available).
- High-quality food photographs or, preferably, short videos of menu items.
TreatRight reserves the right to edit images or videos for quality and branding purposes without altering the nature of the products.
5. Pricing
The Vendor shall maintain the same menu prices offered to customers at the physical outlet unless otherwise agreed in writing.
Price increases after an order has been confirmed are not permitted.
6. Customer Choice
TreatRight's unique service allows recipients to choose an alternative meal from the same participating restaurant, provided the selected meal falls within the value of the original Treat.
The Vendor agrees to honour such selections.
7. Orders
Orders will only be transmitted after payment has been successfully authorised.
The Vendor agrees to begin preparation only after receiving confirmation from TreatRight.
8. Payments & Settlement
TreatRight facilitates payment collection and settlement.
Settlement to Vendors shall be made in accordance with TreatRight's settlement procedures and any applicable Vendor Agreement.
Applicable payment processing charges may apply.
9. Refunds & Cancellations
Refunds and cancellations shall be handled in accordance with the TreatRight Refund & Cancellation Policy.
Where an order cannot be fulfilled due to Vendor error, TreatRight may issue a refund to the customer after consultation with the Vendor.
10. Food Quality
The Vendor remains solely responsible for:
- Food quality.
- Portion sizes.
- Food safety.
- Hygiene standards.
- Packaging.
- Compliance with all food safety laws.
TreatRight accepts no responsibility for food prepared by participating vendors.
11. Delivery
Delivery may be undertaken by:
- the Vendor;
- an approved third-party delivery partner; or
- customer collection.
The Vendor remains responsible for ensuring orders are properly packaged and released only upon verification.
12. Verification of Recipients
Before releasing an order, Vendors shall verify the recipient using the TreatRight order confirmation or collection code provided through the platform.
13. Intellectual Property
The Vendor grants TreatRight permission to use its:
- business name;
- logo;
- menu;
- photographs;
- videos;
- promotional content,
for the purposes of marketing, advertising and operating the TreatRight platform. Ownership remains with the Vendor.
14. Marketing
TreatRight may feature Vendor products across its website, mobile application and official social media channels.
Vendors are encouraged to provide promotional content that accurately represents their products.
15. Fraud Prevention
TreatRight reserves the right to:
- suspend suspicious transactions;
- request additional verification;
- suspend Vendors suspected of fraudulent activity;
- cooperate with law enforcement where necessary.
16. Payment Reversals & Chargebacks
Where a payment is reversed, declined, identified as fraudulent, or becomes subject to a chargeback before settlement, the corresponding order may be cancelled and no settlement will be made to the Vendor.
Where a reversal or chargeback occurs after an order has been fulfilled or settlement has been initiated, TreatRight will investigate the matter in collaboration with the customer, Vendor, payment provider and other relevant parties.
TreatRight aims to acknowledge reversal and chargeback cases within one (1) business day and to resolve most cases within five (5) business days of receiving all relevant information. More complex cases may require additional time.
17. Suspension or Termination
TreatRight may suspend or terminate a Vendor for reasons including:
- fraud;
- misleading product information;
- repeated customer complaints;
- poor food quality;
- failure to fulfil confirmed orders;
- breach of these Terms;
- violation of applicable law.
18. Limitation of Liability
TreatRight acts solely as a digital marketplace facilitating meal gifting.
TreatRight shall not be liable for losses arising from:
- food quality;
- preparation delays;
- customer misuse;
- Vendor negligence;
- delivery failures caused by third parties;
- events beyond its reasonable control.
19. Changes to These Terms
TreatRight may amend these Terms & Conditions from time to time. Updated versions will be communicated to Vendors through the TreatRight platform or by email.
20. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
Any dispute arising from these Terms shall first be resolved through good-faith negotiations. If unresolved, the dispute shall be referred to mediation before either party commences court proceedings, unless urgent legal relief is required.
Acceptance
By registering as a TreatRight Vendor Partner or accepting orders through the TreatRight platform, the Vendor confirms that they have read, understood and agree to be bound by these Terms & Conditions.
